Terms of Service.

These Terms of Service (the “Terms”) form a legal agreement between you and Scribuo (“Scribuo”, “we”, “us”, or “our”) governing your access to and use of the Scribuo website at scribuo.com, its applications, and related services (together, the “Service”). Please read them carefully.

1. Acceptance of these terms

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation. If you do not agree to these Terms, you must not use the Service.

2. Description of the Service

Scribuo is a transcription service. You provide a YouTube URL or upload a media file, and the Service produces a searchable, timestamped transcript. Depending on your plan, the Service may also offer AI-generated summaries and chat, translation, exports (TXT, SRT, PDF, ZIP), folders, shareable links, team workspaces, and programmatic API access.

Transcription is performed on our own servers using speech-recognition software (faster-whisper). Where a video provides publicly available captions, we may retrieve those captions via third-party providers instead of, or in addition to, transcribing the audio. Scribuo does not host, store, or redistribute the source videos themselves.

3. Accounts and eligibility

You must be at least 18 years old to create an account and use the Service. Accounts and authentication are managed through our identity provider (Clerk). You are responsible for providing accurate registration information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly at support@scribuo.com if you suspect any unauthorised use of your account.

4. Acceptable use and your content

You are solely responsible for the URLs, files, and other content you submit to the Service (“Your Content”). By submitting Your Content, you represent and warrant that you own it or have all necessary rights, licences, and permissions to transcribe, process, and store it. You must not use the Service to:

  • transcribe or process content you do not have the right to use, or that infringes any copyright, trademark, privacy, or other right;
  • process material that is unlawful, defamatory, harassing, or that depicts the abuse or exploitation of any person;
  • attempt to disrupt, overload, circumvent rate limits, reverse engineer, or gain unauthorised access to the Service or its infrastructure;
  • resell or redistribute the Service except as expressly permitted by your plan; or
  • violate any applicable law or the terms of any third-party platform, including YouTube.

We may remove content or suspend accounts that we reasonably believe breach these Terms, and we may respond to valid takedown or infringement notices in accordance with applicable law.

5. YouTube and third-party content

Scribuo is an independent service. It is not affiliated with, endorsed by, or sponsored by YouTube, Google LLC, or their affiliates. When you transcribe a YouTube video, you remain bound by YouTube’s Terms of Service and any applicable rights of the video’s owner. You are responsible for ensuring that your use of the Service in relation to YouTube content is permitted. We do not grant you any rights in third-party content, and transcribing a video does not transfer any ownership of that video to you or to us.

6. Subscriptions, billing, credits, and refunds

Some features require a paid subscription. Plan tiers, prices, credit allowances, and per-item limits are described on our pricing page and may change over time. Payments are processed by our payment provider, Stripe; we do not store your full card details.

Paid plans are billed in advance on a recurring basis (for example monthly or annually) and renew automatically until cancelled. You may cancel at any time from your account settings, and cancellation takes effect at the end of your current billing period. Credits and usage allowances are consumed as you use the Service and, unless stated otherwise on the pricing page, do not roll over between periods and have no cash value.

Because the Service delivers digital results immediately, fees are generally non-refundable except where required by law, including your statutory rights as a consumer under UK law. If you believe you have been charged in error, contact support@scribuo.com and we will review it in good faith.

7. API use

If your plan includes API access, you must keep your API keys confidential and use them only within the quotas and rate limits associated with your plan. API usage counts towards your credits and allowances. We may throttle, suspend, or revoke API access that we reasonably believe is abusive, insecure, or in breach of these Terms.

8. Intellectual property

As between you and Scribuo, you retain all rights in Your Content and in the transcripts, summaries, and translations generated from it. You grant us a limited licence to host, process, and transmit Your Content solely to provide and support the Service. We do not use Your Content to train machine-learning models and we do not sell it.

Scribuo and its licensors own all rights in the platform itself — including the software, models, user interface, branding, and documentation. These Terms do not grant you any rights in the platform except the limited right to use it in accordance with your plan.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis. Automated transcription, summarisation, and translation are inherently imperfect: we do not warrant that transcripts or AI-generated outputs are accurate, complete, or fit for any particular purpose, and you should not rely on them where accuracy is critical without independent verification. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law (such as liability for death or personal injury caused by negligence, or for fraud). Subject to that, to the fullest extent permitted by law, Scribuo shall not be liable for any indirect, incidental, special, or consequential losses, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) £100.

11. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. We will handle any personal data associated with your account in line with our Privacy Policy, and you may request an export of your transcripts before deletion where reasonably practicable.

12. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify you by email or in-product. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that if you are a consumer you may benefit from any mandatory protections of the law of your country of residence.
